The April 30, 2008 Annual / Extraordinary Shareholders’ Meeting established the Audit Committee of Banco Pan S.A. as a Statutory Board. The August 11, 2008 Board of Directors’ Meeting implemented the Committee and approved its Internal Regulations.
The Audit Committee is composed of three (3) members, with terms lasting for two (2) years, appointed and dismissed by the Board of Directors, with one of them appointed to serve as the Chairman of the Audit Committee and one of them having proven knowledge in the areas of accounting and auditing.
In accordance with current regulations, the Bylaws of Banco Pan and the Internal Regulations of the Audit Committee, its mission is to assist the Board of Directors in supervising the quality and integrity of the financial reporting, in compliance with legal and regulatory requirements, in evaluating and ensuring the independence of the independent auditors, in the performance of the independent and internal audits, as well as ensuring the quality, appropriateness and effectiveness of the system of internal controls, based on the information received from the various internal organs and the independent auditors.

|Amin Alves Murad. Mr. Murad has been working as public and private companies manager since 1989. Between 1992 and 1999, he was responsible for the industrial area of Grupo BBM. From 2000 to 2004, Mr. Murad was the Chief Executive Officer for Lachman Group, working with the Board of Directors of Othon Group. In 2006, he was nominated the Chief Executive Officer for SuperVia S.A., restructuring the company until 2010. In 2011, he was the Director responsible for the start up of Porto Novo S.A.. Since 2012, he has been reestructuring the industrial area of Peixoto de Castro Group, and, since 2015, has been reestructuring the Oriente Construção Civil Ltda.. Mr. Murad is currently the Chairman of the Board of Director of Copenor S.A. and Apolo Tubular S.A., he is also a Board Member at Triunfo Participações e Investimentos S.A..He has also worked as independent member of the Board of Directors at CR2 Empreendimentos Imobiliários S.A. from 2012 to 2015. Since 2016, he has structured ARM Gestão Consultoria e Participações Ltda., where he is fouding partner, working in the restructuring of several medium and large Companies.

|Fábio de Barros Pinheiro. Graduated in Electrical Engineering from the University of Brasilia (UNB) and with an MBA from Indiana University, Mr. Pinheiro joined Banco Pactual S.A. in 1992 where he was the partner responsible for commercial relations with companies in the healthcare and technology sectors between 2004 and 2009. Between 2006 and 2009, Mr. Pinheiro was also Managing Director of UBS Pactual. He has been an Independent Member of the Board of Directors of Galvani Indústria, Comércio e Serviços S.A. and Laticínio São Vicente de Minas S.A. and also Chairman of the Boards of Grupo Diletto and Eneva S.A. Since 2013, Mr. Pinheiro has been a Member of the Board of Directors of Banco PAN. In addition, he is also an Independent member of the Board of Directors and Chairman of the Audit and Risk Management Committee of Lojas Renner (since 2014), an Independent member of the Board of Directors of the Association for Children and Adolescents with Cancer (since 2015), an Independent Member of the Board of Directors, Audit Committee and Personnel Committee of Estre Ambiental Inc. and an Independent member of the CPSEC – Cia Paulista de Securitização – Committee (since 2018).

|Pedro Paulo Longuini. Mr. Longuini holds a degree in Aeronautical Mechanical Engineering from the Instituto Tecnológico da Aeronáutica (ITA) and approximately 30 years of professional experience in the financial market, but began his career at Schlumberger, one of the largest oil service companies in the world, where he initiated as a field engineer. He worked at Citibank Brazil, where he began as a Capital Market Product Manager in 1985, where he was also the Corporate Banking Business Controller and served as CFO of the institution’s pension fund. Mr. Longuini also worked at ABN AMRO Real, having held several positions, including (in chronological order) Deputy Director of Financial Control, Executive Director in the operations and financial control unit, Chief Financial Officer for the Banco Real Pension Fund, Executive Director in the financial control and administration unit, Executive Vice President of Finance and member of the Executive Committee, having also been CFO from 1998 to 2008. Following the incorporation of Banco Real by Banco Santander, he assumed the Executive Vice President of Corporate Affairs position at Banco Santander Brasil, responsible for the compliance and legal areas. He remained at Santander Brasil as Executive Vice President for the Resources and Quality & Efficiency department. From 2013 to 2015, Mr. Longuini was the Global Director for the Productivity and Efficiency department, in Madrid. Mr. Longuini declares he is not under any judicial or administrative convictions and has not informed the Company of any criminal conviction, CVM administrative proceeding or any other judicial or administrative conviction that has suspended or disqualified him from engaging in professional and/or commercial activities.
